Terms of Service

These Terms of Service ("Terms") govern all services provided by Elevate Social Media ("we," "us," or "our"), a web design agency based in Glendale, California, to you ("Client"). By engaging our services, submitting a contact form inquiry, or making any payment to Elevate Social Media, you agree to be bound by these Terms in full.
These Terms cover all current and future services offered by Elevate Social Media, including but not limited to website design, website redesign, landing page design, SEO setup, website maintenance, website copywriting, UI/UX design, and any other services agreed upon in writing.

1. Services Overview
Elevate Social Media offers professional web design services. Specific deliverables, timelines, and pricing for each engagement are confirmed in writing (email confirmation is sufficient) before work begins. We reserve the right to decline any project at our sole discretion.
Website Design — A one-time service to design and deliver a professional website. Pricing starts at $300 and goes up to $1,000 depending on scope. See Section 3.
Website Maintenance — Ongoing monthly website maintenance starting at $49.99 per month. Can be added to any website we build or an existing site. See Section 4.
Additional Services — Other services including website redesign, landing page design, SEO setup, UI/UX design, and website copywriting. These are quoted individually based on scope. See Section 5.
2. Quotes, Pricing, and Estimates
All pricing shown on our website represents starting prices and general ranges. Final pricing for any engagement is determined after a consultation and confirmed in writing before work begins.
We reserve the right to provide a revised quote if:
- The scope of work expands beyond what was originally agreed
- Additional features or pages are requested after work has begun
- The project requires significantly more time or third-party costs than originally estimated
- Revision requests go beyond the number included in the original scope
Any revised quote will be communicated to you before additional work proceeds. We will not charge for scope changes without your prior written agreement.
Note: Prices quoted are valid for 30 days from the date of the quote. After 30 days, we reserve the right to requote based on current pricing and availability.
3. Website Design
Website design is a one-time service. The process works as follows:
- You provide your business information, any branding assets, and project requirements during onboarding
- We design and build your website and deliver it for your review within the agreed timeframe, typically 7 business days
- You have the opportunity to request revisions before the site goes live
- Standard packages include 2 rounds of revisions. Additional revision rounds are billed at our current rate, quoted before proceeding
- Full payment is due upon delivery and before the completed site is transferred or goes live on your domain
- Upon full payment, you own the completed website. See Section 9 for intellectual property terms.
Hosting and Domain — Website design pricing does not include domain registration or hosting fees. These are third-party costs you are responsible for directly. We will advise on setup but are not liable for third-party hosting or domain service disruptions.
Timeline — The 7-day delivery timeline begins once we have received all required information and assets from you. Delays caused by late provision of content, assets, or approvals extend the timeline accordingly and do not entitle you to a price reduction.
4. Website Maintenance
Website maintenance is a recurring monthly service. The following terms apply:
- Services begin upon receipt of payment and any required account access
- Included services: content and text updates, image and media swaps, minor design adjustments, performance monitoring, security checks, and priority support response
- Major redesigns, new pages, new features, or structural changes are not covered under maintenance and will be quoted separately
- You may cancel at any time with written notice. Cancellations take effect at the end of the current billing month. No partial refunds are issued for months in progress.
- We are not responsible for issues caused by third-party platform changes, hosting providers, or domain registrars
5. Custom and Extended Engagements
Any work beyond the originally agreed scope constitutes extended work and will be quoted separately. This includes but is not limited to:
- Additional pages beyond the original quote
- New features or integrations added mid-project
- Revision requests exceeding the agreed number of rounds
- Rush delivery requests outside standard timelines
- Any service not explicitly covered in the original written agreement
Extended work will not be performed without your written acceptance of the revised quote. Verbal agreements for scope additions are not binding on our end.
6. Payment Terms
Payment terms are confirmed at the start of each engagement:
- Website Design: Full payment is due upon delivery and before the site goes live on your domain. For larger or multi-phase projects, we may agree in writing to invoice in stages.
- Website Maintenance: Billed monthly. Services do not begin or continue until payment is received.
- All Other Services: Quoted and confirmed in writing. Payment due upon delivery unless otherwise agreed in writing.
Invoices are due upon receipt unless otherwise agreed in writing. Failure to pay within 7 days of the invoice due date may result in suspension of services and a late fee of 10% of the outstanding balance per 30-day period, applied at our discretion.
We accept payment via the methods communicated at the time of invoicing.
7. Refund Policy
Website Design: Payment is due upon satisfactory delivery. If you cancel before any work has begun, any amounts already paid will be refunded minus any third-party costs already incurred. We work through a reasonable revision process to ensure the delivered product meets the agreed scope before payment is required. No refunds once the final site has been delivered and approved.
Website Maintenance: No refunds for months of service already delivered or in progress. If you cancel mid-month, service continues through the end of the paid period.
Other Services: Evaluated case by case. If we fail to deliver the agreed service, a full or partial refund will be issued. No refunds for completed work.
If we are unable to complete any service due to circumstances on our end, a prorated refund will be issued for the undelivered portion.
8. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely information about your business and project requirements
- Respond to requests for content, approvals, and feedback in a timely manner. Delays caused by non-response extend project timelines at no cost reduction to you.
- Ensure you own or have full legal rights to all content, images, logos, and materials you provide to us
- Not share login credentials we create or manage with unauthorized third parties
- Inform us promptly of any changes to your business or project requirements
We are not liable for poor outcomes resulting from inaccurate information, late approvals, or your failure to respond to reasonable requests.
9. Intellectual Property
Upon receipt of final payment in full, you own the website and all deliverables we created specifically for your project, including custom design files, copy, and graphics.
We retain the right to display completed work in our portfolio and use it for marketing purposes unless you request otherwise in writing before the project begins. Requests made after delivery are considered case by case.
Third-party assets, code libraries, fonts, and tools used in your project remain the property of their respective owners and are licensed to you under their respective terms. We will notify you of any licensing requirements that may affect your use.
Content you provide to us (logos, photos, copy, branding) remains your property at all times.
10. Results Disclaimer
We make no guarantees of specific results including website traffic, search rankings, lead generation, or revenue. Outcomes depend on many factors outside our control, including your industry, market conditions, competition, and how you use and maintain the website after delivery.
Any results, statistics, or examples shown in our marketing are representative examples and not guarantees. Individual results vary.
11. Confidentiality
Both parties agree to keep confidential any proprietary business information shared during the engagement. We will not share your business strategies, unreleased products, financial information, or other confidential materials with third parties without your consent. You agree not to share our proprietary processes or methods with our competitors.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Elevate Social Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to:
- Lost revenue, lost profits, or loss of business
- Loss of data or content
- Third-party hosting or domain service disruptions
- Unauthorized access to your accounts not attributable to our negligence
- Algorithm or policy changes by Google or other platforms affecting your site's performance
Our total liability to you for any claim arising from our services shall not exceed the total amount you paid us in the 90 days preceding the claim.
13. Termination
Either party may terminate any service agreement with written notice as specified in the relevant section above. We reserve the right to immediately suspend or terminate services without refund if:
- A client engages in abusive, threatening, or harassing behavior toward our team
- A client requests illegal, defamatory, or harmful content
- Payment is not received within 14 days of the due date after a reminder has been sent
- A client violates these Terms in a material way not remedied within 7 days of written notice
Upon termination, any amounts owed for completed work remain due and payable. We will deliver any completed deliverables for which full payment has been received.
14. Dispute Resolution
We prefer to resolve disputes directly. If you have a concern, contact us first at contact@elevatesocialmedia.net and we will make a good-faith effort to resolve it within 14 days.
If a dispute cannot be resolved informally, both parties agree to attempt mediation before pursuing litigation. These Terms are governed by the laws of the State of California. Any legal action shall be brought in the courts of Los Angeles County, California.
15. Changes to These Terms
We may update these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. For active monthly maintenance clients, material changes will be communicated by email at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
